Welcome to Zylo Exchange. These Terms and Conditions ("Terms") govern your access to and use of our website, services, and platform (collectively, the "Services") operated by Zylo Exchange ("we," "us," or "our").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

02 Our Services

Zylo Exchange provides trade execution support services for businesses engaged in cross-border trade with India. Our Services include, but are not limited to:

• Partner verification and qualification
• Sampling coordination and quality alignment
• Export documentation support
• Logistics coordination and shipment tracking
• Trade consultation and advisory services

Service Limitations

Zylo Exchange acts as a trade execution facilitator and coordinator. We do not:

• Trade inventory or hold goods
• Resell products or act as a merchant
• Guarantee the performance of third-party suppliers or partners
• Provide legal, financial, or tax advice
• Act as a party to commercial contracts between buyers and sellers

Final commercial terms and contracts remain directly between trade parties. We coordinate, verify, and support execution workflows but do not assume liability for third-party performance.

03 Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Be authorized to act on behalf of any business entity you represent
• Not be prohibited from using our Services under applicable laws
• Comply with all applicable import/export laws and regulations

By using our Services, you represent and warrant that you meet all eligibility requirements. We reserve the right to refuse service to anyone at our sole discretion.

04 Account Registration

To access certain features of our Services, you may be required to provide information about yourself and/or your business. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your information as needed
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that contain inaccurate information or that we believe violate these Terms.

05 Fees and Payment

Our fee structure is discussed and agreed upon before any trade commitment. Fees may include:

• Service fees based on trade value or complexity
• Coordination fees for specific services requested
• Third-party costs passed through at cost (shipping, inspection, etc.)

Payment Terms

Unless otherwise agreed in writing:

• Fees are quoted in USD unless otherwise specified
• Payment is due according to the schedule agreed upon for each trade
• Late payments may incur interest at the rate of 1.5% per month
• We reserve the right to suspend services for overdue accounts

06 Trade Execution

Our Role

Zylo Exchange facilitates trade execution by providing coordination, verification, and support services. We work to align parties, validate capabilities, and ensure proper documentation and logistics coordination.

Your Acknowledgment

By engaging our Services, you acknowledge and agree that:

• Commercial contracts are between you and your trade partners directly
• We do not guarantee supplier performance, product quality, or delivery timelines
• Trade involves inherent risks that cannot be entirely eliminated
• You are responsible for your own due diligence beyond our verification services
• Final decisions regarding trade partners and terms are yours to make

Sampling and Production

Sample approval and production authorization are your responsibility. We coordinate the sampling process, but approval of samples and authorization to proceed with bulk production must come from you in writing.

07 Your Responsibilities

When using our Services, you agree to:

• Provide accurate and complete information about your trade requirements
• Respond promptly to communications and requests for information
• Review and approve samples, specifications, and documentation in a timely manner
• Comply with all applicable laws, regulations, and trade compliance requirements
• Maintain appropriate insurance coverage for your goods and business operations
• Not use our Services for any illegal, fraudulent, or prohibited purposes
• Not misrepresent your business, capabilities, or intentions

Trade Compliance

You are solely responsible for ensuring compliance with all applicable import/export laws, customs regulations, trade sanctions, and other legal requirements in your jurisdiction and the jurisdictions involved in your trade.

08 Limitation of Liability

To the maximum extent permitted by applicable law:

• Our Services are provided "as is" and "as available" without warranties of any kind
• We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claims arising from these Terms or your use of our Services shall not exceed the fees paid by you to us in the twelve (12) months preceding the claim

Third-Party Actions

We are not liable for the actions, omissions, products, or services of third parties, including but not limited to suppliers, manufacturers, shipping carriers, customs authorities, or any other parties involved in your trade.

09 Intellectual Property

All content, trademarks, logos, and intellectual property displayed on our platform are owned by or licensed to Zylo Exchange. You may not:

• Copy, modify, or distribute our content without written permission
• Use our trademarks or branding without authorization
• Reverse engineer, decompile, or attempt to extract our source code
• Create derivative works based on our Services or content

Any feedback, suggestions, or ideas you provide to us may be used by us without any obligation to you.

10 Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using our Services, you consent to the collection, use, and sharing of your information as described in our Privacy Policy. Key points include:

• We collect information necessary to provide our Services

11 Termination

Either party may terminate the relationship at any time with written notice. However:

• Termination does not affect obligations for trades already in progress
• You remain responsible for all fees incurred prior to termination
• Provisions that by their nature should survive termination will survive

Termination by Us

We may suspend or terminate your access to our Services immediately, without prior notice, if we believe you have violated these Terms or engaged in conduct that could harm us, our partners, or other users.

12 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of our Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless you opt out within 30 days of first using our Services.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

We reserve the right to modify these Terms at any time. When we make changes:
